What the Danish annual report actually is

The annual report is the document banks, investors and business partners judge your company on, and it forms the basis for your tax return. For most Danish companies it is also a public document: once filed, anyone can look it up in the CVR register.

That public visibility is worth knowing about if you are used to a jurisdiction where accounts stay private. It is one of the reasons it pays to have the report presented properly rather than merely filed on time.

We make sure the report is correct, readable and compliant with the Danish Financial Statements Act, so you don't have to wonder whether an item sits in the right place or whether a deadline is creeping up on you.

What does an accountant charge for the annual report?

The price starts from the number of documents per year. If we also keep the books during the year, the annual report forms part of the overall agreement rather than a separate invoice at year-end.

Annual reports for sole proprietorships, ApS and A/S

The requirements depend on your company form and reporting class. A sole proprietorship in reporting class A has far simpler obligations than an ApS in class B, which must file a full annual report with the Danish Business Authority.

We handle both — and for larger companies with multiple activities, stock or employees we also prepare the notes and specifications that classes B and C require. You get a solution matched to the rules your company is actually subject to, rather than a standard package.

The deadline, and what happens if you miss it

The annual report must reach the Danish Business Authority no later than six months after the end of your financial year. If your financial year follows the calendar year, that means 30 June.

Miss it, and the Authority first sends a reminder with a new deadline. After that come fines of up to DKK 3,000 per member of management — charged personally, not to the company. If nothing happens still, the company can be sent for compulsory dissolution. None of this is common, but all of it is avoidable, which is why we work with a good margin to the date.

What goes into the annual report?

  • Income statement — the year's income, costs and result.
  • Balance sheet — the company's assets, liabilities and equity at year-end.
  • Notes — specifications of the items that need explaining.
  • Management's statement and, where relevant, an accountant's report.

On top of that comes the tax return to the Danish Tax Agency, which we prepare as part of the agreement.
